PrideDAO ByLaws
ARTICLE I: NAME AND PURPOSE
Section 1. Name
The name of the decentralized autonomous organization (DAO) shall be PrideDAO (the "DAO").
Section 2. Purpose
PrideDAO is established as a decentralized, community-driven organization dedicated to empowering and supporting the global LGBTQ+ community through blockchain technology, governance, and funding initiatives that promote inclusivity, equality, and innovation.
ARTICLE II: MEMBERSHIP
Section 1. Eligibility
Membership in PrideDAO is open to individuals and entities that hold the governance coin of the DAO ("PrideCoin) and adhere to the values of inclusivity, equality, and decentralization.
Section 2. Rights and Responsibilities
Members have the right to:
Participate in governance by voting on proposals.
Submit proposals for community review.
Access and contribute to community-funded projects.
Members are responsible for:
Adhering to the principles of PrideDAO.
Participating in governance in a responsible and transparent manner.
Refraining from any activities that may harm the DAO or its mission.
ARTICLE III: GOVERNANCE
Section 1. Governance Mechanism
Governance is conducted through a decentralized voting system where each PrideCoin represents voting power. Decisions are made based on a quorum and majority voting mechanism as defined in the smart contract.
Section 2. Proposal Process
Any member can submit a proposal.
Proposals must be reviewed and discussed in the community forum for at least seven (7) days before voting.
Voting takes place on the DAO's blockchain and remains open for a minimum of five (5) days.
A proposal is considered approved if it meets the quorum and majority requirements.
Section 3. Smart Contract Enforcement
Decisions made through governance are automatically enforced by smart contracts, ensuring transparency and immutability.
ARTICLE IV: TREASURY AND FUNDING
Section 1. Treasury Management
PrideDAO’s treasury is managed by a decentralized governance mechanism. Funds can only be disbursed upon successful proposal approval.
Section 2. Fund Allocation
Funds may be allocated for:
Community-led projects and initiatives.
Strategic partnerships supporting the LGBTQ+ community.
DAO operational expenses.
Grants and sponsorships.
ARTICLE V: CODE OF CONDUCT
Section 1. Community Ethics
Members must:
Respect all individuals, regardless of gender identity, sexual orientation, race, or background.
Maintain constructive and respectful discourse within DAO communications.
Avoid fraud, exploitation, and any malicious activity.
Section 2. Violations and Consequences
Members found violating the Code of Conduct may face penalties, including temporary suspension or expulsion, subject to a community vote.
ARTICLE VI: AMENDMENTS
Section 1. Amendment Process
Amendments to the Bylaws can be proposed by any member.
Proposals must undergo a seven (7) day discussion period.
A two-thirds (2/3) majority vote is required for approval.
Approved amendments are updated in the DAO’s governance framework.
ARTICLE VII: DISSOLUTION
Section 1. Dissolution Procedure
In the event of dissolution, the DAO’s remaining assets shall be distributed to LGBTQ+ charities, as determined by a final community vote.
These Bylaws are enforceable through smart contracts and community governance, ensuring decentralization, transparency, and adherence to the mission of PrideDAO.
